We represent founders, startups and investors in angel and venture capital financings and venture debt, from seed to Series A, B, C and beyond.
Our work includes drafting and negotiating term sheets, subscription and shareholders' agreements, convertible notes and other bridge financings, as well as founder employment agreements and equity incentive plans.
We also perform due diligence for cross-border venture capital deals, particularly those connecting Silicon Valley and Asia, and help companies become investment-ready.
Technology Transactions
We advise startups and growth-stage companies on legal and business issues that arise when acquiring, developing and commercializing new technologies, products and services, from AI and SaaS to hardware, platforms and data.
We negotiate technology and IP transactions, including SaaS and enterprise customer agreements, AI, software and data licensing, open source, university and IP licensing, distribution agreements, strategic partnerships, joint ventures, and IP acquisitions and sales.
We work with founders in AI, robotics and autonomous systems, wearables, digital health, biotech and other emerging areas, and develop practical solutions where no market precedent exists.
Global Expansion
We help emerging companies launch and expand in new markets, including the US, India, Singapore, Hong Kong, Vietnam, Indonesia, Thailand, Malaysia, the Philippines and Australia.
We assist on all legal aspects of international expansion, including legal entity structuring, employment, intellectual property, privacy and compliance, working with our network of local counsel where local law applies.
We also help companies re-domicile or flip to other jurisdictions, including Delaware flips for non-US startups, reverse flips to India, and Singapore holding structures, to better access new markets, funding and talent.
Mergers & Acquisitions
We represent founders, emerging companies and investors in cross-border M&A transactions involving business and asset acquisitions, private placements, strategic mergers and business combinations, and spin-offs.
We assist clients through every stage of a transaction: business objective evaluation, due diligence, negotiations, closing and post-closing, always proactively identifying opportunities and mitigating risks.
We also help clients integrate and restructure their business operations following a successful acquisition or merger.
General Counsel
We provide fractional and outside general counsel on an as-needed or part-time basis, in person or remotely, to companies of all sizes. We advise on strategic and day-to-day matters and serve as an integrated part of your management team to build and scale your business and prepare for fundraising and exits.
For startups, we act as primary general counsel and manage essentially all legal matters, including fundraising, customer contracts, employment and equity plans, IP protection, corporate governance, privacy and data security.
For later-stage companies, we serve as an extension of your in-house legal team, filling gaps in expertise or capacity and handling special projects such as reorganizations, post-acquisition integrations and IPO readiness.
