We represent founders, companies and investors in a wide range of cross-border M&A transactions involving business and asset acquisitions, private placements, strategic mergers and business combinations, and spin-offs.

We assist clients through every stage of a transaction - business objective evaluation, due diligence, negotiations, closing and post-closing - always proactively identifying opportunities and mitigating risks.

We also help clients to integrate and restructure their business operations following a successful acquisition or merger.

General Counsel

 


We provide outside general counsel services on an as-needed or part-time basis to companies of all sizes. We advise on strategic and day-to-day matters and serve as an integrated and collaborative part of a company’s management team to build and scale their business.

For startups, we act as primary general counsel and manage essentially all legal matters, including customer contracts, employment, IP protection, corporate governance, privacy and data security.

For later stage companies, we serve as an extension of your in-house legal team, covering underserved areas of your business or handling special projects such as reorganizations and post-acquisition integrations.
